Terms of service

Article 1 (Scope and Application)

These Terms of Service (the "Terms") establish the conditions for using the websites, online stores, and other related services operated by Kanzawa Ironworks Co., Ltd. (神沢鉄工株式会社, hereinafter referred to as the "Company," "we," "us," or "our") under the brands FEDECA and Somaé (collectively, the "Services").

Customers who use the Services (hereinafter referred to as "Users") shall review and agree to these Terms before using the Services.

In addition to these Terms, the policies, notices, and information published on the Services and individual product pages form part of the conditions governing the use of the Services. In the event of any inconsistency, the specific terms stated on the relevant product page or in the applicable policy shall prevail.

Article 2 (Use of the Services)

Users shall comply with these Terms and all applicable laws and regulations when using the Services.

Minors who wish to purchase products through the Services must obtain the consent of a parent or other legal guardian.

Article 3 (Account Management)

Users shall provide accurate and up-to-date information when registering an account or purchasing products.

Users are responsible for properly managing their login credentials and must not allow third parties to use them or transfer or lend them to others.

The Company shall not be liable for damages arising from inaccurate registration information, inadequate management of login credentials, or unauthorized use by third parties, except where the Company is responsible for such damages.

Article 4 (Formation of Sales Contracts)

When a User completes the order process through the Services, the User is deemed to have submitted an offer to purchase the relevant products from the Company.

A sales contract is formed when the Company sends an order confirmation email to the User.

However, even after a sales contract has been formed, the Company may cancel all or part of an order in any of the following circumstances:

  • Products cannot be supplied due to insufficient stock, discontinuation of production, or other circumstances.

  • There is an obvious error in the displayed product price, specifications, or sales conditions.

  • Payment authorization or confirmation of payment cannot be obtained.

  • Registration information is incorrect or incomplete, and the Company is unable to contact the User.

  • The Company reasonably determines that the order is intended for commercial resale without authorization, involves fraudulent activity, or constitutes an improper order.

  • The order violates applicable laws or these Terms.

  • There are other reasonable grounds that make fulfillment of the order difficult.

If the Company cancels an order after payment has been made for reasons attributable to the Company, the Company will refund the amount already paid for the products.

Article 5 (Prices and Payments)

The prices displayed on the relevant product pages and at checkout at the time of ordering shall apply to the purchase.

The Company may change product prices or specifications. However, sales contracts formed before such changes shall, in principle, remain subject to the prices and conditions applicable at the time of ordering.

Users shall pay product prices, shipping charges, and any other applicable fees in accordance with the payment methods and deadlines displayed through the Services.

Any customs duties, import taxes, customs clearance fees, or similar charges arising from international shipping shall be borne by the User.

Article 6 (Order Changes and Cancellations)

Order changes and cancellations shall be handled in accordance with the separately established Purchase Options Cancellation Policy.

As a general rule, cancellations of regular products and pre-order products are accepted until the shipment preparation process begins.

For products individually customized according to the User's specifications, including name engraving, personalization, or other processing, changes or cancellations cannot be accepted once the customization work has begun, even if the product has not yet been shipped.

Article 7 (Returns and Exchanges)

Returns, exchanges, and refunds shall be handled in accordance with the separately established Refund Policy.

Article 8 (Shipping, Transfer of Ownership, and Risk of Loss)

Products shall be delivered using shipping carriers and delivery methods designated by the Company.

Ownership of the products shall transfer from the Company to the User when payment has been completed and the products have been delivered to the User.

The risk of loss, damage, or other harm to the products shall transfer to the User upon delivery.

If delivery is completed using a method designated by the User, including unattended delivery or delivery to a designated location, the products shall be deemed delivered at that time.

Article 9 (Shipping and Delivery Delays)

Shipment or delivery of products may be delayed due to circumstances including:

  • Weather conditions, natural disasters, transportation disruptions, or other events beyond reasonable control.

  • Circumstances affecting shipping carriers.

  • Manufacturing, procurement, or supply-related issues.

  • High order volumes, busy seasons, or periods during which events are held.

  • Customs procedures or local delivery conditions affecting international shipments.

If there is a significant change to the expected shipping schedule, the Company will notify the User by email or another appropriate method.

The Company shall not be liable for delivery delays caused by circumstances beyond its reasonable control. However, where the Company is responsible for the delay, the matter shall be handled in accordance with applicable laws.

Article 10 (Product Information and Individual Variations)

The Company endeavors to provide accurate product information. However, typographical errors, delays in updating information, or differences in displayed information may occur.

The color and texture of products may appear different from the actual products due to photography conditions, lighting, the User's device, or display settings.

Products made with natural materials may exhibit individual variations in wood grain, color, patterns, and finish. Such variations shall not be considered defects provided they do not adversely affect product quality or intended use.

Article 11 (Purchases for Resale)

Users are prohibited from purchasing products through the Services for the purpose of commercial resale without the Company's prior consent.

If unusual ordering patterns are identified, including bulk purchases, repeated orders within a short period, or shipments of large quantities to the same address, the Company may verify the purpose of the orders, limit purchase quantities, or cancel orders.

Products purchased through flea market applications, auction websites, or other secondary distribution channels may be excluded from returns, refunds, exchanges, or other services intended for original purchasers because the Company may be unable to verify the source of purchase or the condition of the products.

However, repair, sharpening, and other services separately provided by the Company shall be subject to their respective terms and conditions.

Article 12 (Prohibited Activities)

Users must not engage in any of the following activities when using the Services:

  • Activities that violate applicable laws, regulations, or public order and morals.

  • Providing false or inaccurate information.

  • Impersonating another person or entity.

  • Gaining or attempting to gain unauthorized access to the Services.

  • Placing excessive loads on systems used to operate the Services.

  • Infringing upon the rights, interests, or reputation of the Company or third parties.

  • Interfering with the operation of the Services.

  • Purchasing products for unauthorized commercial resale without the Company's prior consent.

  • Any other conduct similar to the foregoing that is reasonably considered inappropriate.

Article 13 (Intellectual Property Rights)

Copyrights, trademarks, and other intellectual property rights relating to text, photographs, videos, illustrations, logos, designs, product names, and other content published through the Services belong to the Company or the respective lawful rights holders.

Except where permitted by applicable law, Users must not reproduce, copy, modify, distribute, republish, or commercially exploit such content without permission from the Company or the relevant rights holder.

Article 14 (Changes, Interruptions, and Suspension of the Services)

The Company may modify, interrupt, or suspend all or part of the Services in the following circumstances:

  • System maintenance, inspections, or updates are required.

  • Natural disasters, power outages, communication failures, or other circumstances beyond reasonable control occur.

  • External services become unavailable or undergo changes to their specifications.

  • Other circumstances make such action necessary for the operation of the Services.

Where a change or suspension may materially affect Users, the Company will provide advance notice through the Services or another appropriate method, except in emergencies.

Article 15 (Third-Party Services)

The Services utilize platforms and services provided by third parties, including Shopify, payment service providers, and shipping carriers.

Certain features of the Services may become unavailable due to failures, interruptions, or changes affecting these external services.

The terms and conditions established by the respective third-party service providers may apply to the use of their services.

Article 16 (Liability of the Company)

The Company endeavors to provide the Services safely and appropriately.

The Company shall not be liable for damages arising from force majeure events beyond its reasonable control, circumstances attributable to Users, or acts of third parties.

Any provision of these Terms that excludes or limits the Company's liability shall not apply where the Company has acted intentionally or with gross negligence, or where such exclusion or limitation is prohibited by applicable law.

If a User suffers damages due to circumstances attributable to the Company, the Company shall address the matter in accordance with applicable laws.

Article 17 (Restrictions on Use)

If a User violates these Terms or applicable laws, engages in fraudulent activity, or if other reasonable grounds exist indicating a risk to the operation or security of the Services, the Company may take necessary measures, including canceling orders or suspending accounts.

Except where urgent action is required or advance notice could interfere with the operation of the Services, the Company will notify the User of the reasons for such measures either before or after taking action.

Article 18 (Handling of Personal Information)

The handling of Users' personal information and related data shall be governed by the Company's separately established Privacy Policy.

Article 19 (Changes to These Terms)

The Company may amend these Terms where the amendment is consistent with the general interests of Users or is reasonable in light of the purpose of these Terms, the necessity of the amendment, and the appropriateness of its contents.

When amending these Terms, the Company will provide advance notice of the changes and their effective date through the Services or another appropriate method.

Article 20 (Severability)

If any provision of these Terms is determined to be invalid or unenforceable under applicable laws, the remaining provisions shall continue in full force and effect.

Article 21 (Governing Law and Jurisdiction)

These Terms and contracts relating to the Services shall be governed by the laws of Japan.

In the event of a dispute relating to the Services, the Kobe District Court or the Miki Summary Court shall have jurisdiction as the agreed courts of first instance.

However, this provision shall not prevent a party from bringing proceedings before another court where permitted by applicable law.
